The role
As an Associate in this dynamic team, you will play an integral role in the entire transaction life-cycle. From your first day, you will be trusted with significant responsibilities, including taking the first pen on drafts of facility agreements, security documents, and inter-creditor deeds under the guidance of senior lawyers. Your responsibilities will also include preparing board and signing packs and meticulously maintaining matter timetables to ensure smooth deal execution. This role offers clear opportunities to step up, join client calls, contribute to business development pitches, and progress quickly as your experience and responsibilities grow.
Key responsibilities
Draft and negotiate core documents: Take responsibility for drafting and marking up key sections of facility agreements, security documents, and inter-creditor provisions with direct partner supervision.
Manage transaction mechanics: Oversee CP checklists, coordinate signature logistics, manage completions, and handle post-completion filings and perfection requirements with precision.
Coordinate diligence processes: Prepare detailed diligence summaries and collate specialist inputs from tax, corporate, and regulatory teams to identify key issues for clients.
Support leveraged finance deals: Assist senior lawyers on leveraged and acquisition finance work, including reviewing term sheets, understanding funds flows, and managing syndication mechanics.
Assist on specialist financing: Gain exposure to Asset Based Lending and receivables matters by managing borrowing bases and security schedules, and help run loan trading transactions, including transfer mechanics and trade confirmations.
Drive matter momentum: Maintain accurate matter trackers, timetables, and data rooms, ensuring all parties are aligned and deadlines are met.
Develop client communication skills: Draft client updates and meeting notes, and increasingly join and contribute to client and counter party's calls with growing autonomy.
Contribute to team knowledge: Actively participate in maintaining legal precedents, developing know-how resources, and improving internal processes.
Support business development: Assist in preparing credentials documents, pitch content, and client training materials that showcase the team's market expertise.
Essential skills and experience required:
1–4 years' PQE in a recognised Banking & Finance practice, or exceptional experience gained during your training contract.
A confident first-drafter with rigorous attention to detail and strong black-letter legal analysis skills.
An organised and proactive project manager, capable of handling multiple work streams and meeting tight deadlines.
A clear and professional communicator, both in writing and verbally, with developing confidence in client-facing situations.
A collaborative, team-oriented mindset with a genuine enthusiasm for learning and a receptiveness to constructive feedback.
Location & ways of working
This position is based at our client’s central London office, with a hybrid working model that includes at least three days per week in the office. This structure is designed to foster collaboration, learning, and team cohesion. Standard hours are 09:30–17:30, Monday to Friday, with the expected flexibility required to meet deal-driven deadlines.
