Job Summary
The Corporate Lawyer will provide legal advice and support across corporate governance, commercial transactions, regulatory compliance, and dispute management. This role will work closely with senior management and business units to ensure all operations are conducted in accordance with applicable UAE laws and regulations.
The successful candidate will be responsible for drafting and negotiating commercial agreements, managing legal risk, and supporting the organisation in maintaining strong governance and compliance frameworks.

The successful candidate will be responsible for drafting and negotiating commercial agreements, managing legal risk, and supporting the organisation in maintaining strong governance and compliance frameworks.
Key Duties & Responsibilities
- Contracts & Commercial Documentation
- Draft, review, and negotiate a range of commercial contracts including NDAs, MOUs, service agreements, and vendor agreements.
- Ensure contracts comply with UAE legal and regulatory standards.
- Identify legal and commercial risks and provide advice on mitigation strategies.
- Support internal business teams with contract interpretation and implementation.
- Maintain and manage organised records of legal documentation and contracts.
- Corporate Governance & Compliance (UAE)
- Provide guidance on UAE Companies Law, Commercial Transactions Law, and relevant free zone regulations.
- Ensure compliance with mainland, free zone, and offshore regulatory authorities including DED, DMCC, DIFC, ADGM, and others.
- Draft and review board resolutions, shareholder resolutions, and internal corporate policies.
- Manage statutory filings, licence renewals, and regulatory submissions.
- Monitor updates to UAE laws, regulations, and government circulars and advise the business accordingly.
- Litigation & Dispute Management
- Assist with the management of litigation, arbitration, and dispute matters within the UAE.
- Coordinate with external legal counsel and monitor case progress.
- Maintain accurate records of disputes and ensure timely reporting to management.
- Support negotiation processes and dispute resolution strategies.
- Legal Advisory & Stakeholder Management
- Provide legal advice and guidance to management and internal stakeholders on UAE legal matters.
- Act as a key point of contact for internal legal queries and clarifications.
- Liaise with government authorities, regulators, and external legal advisors when required.
- Ensure confidentiality and appropriate handling of sensitive legal information.
Skills, Experience & Qualifications
- Bachelor’s degree in Law (LLB); LLM preferred.
- 10+ years of corporate legal experience within the UAE.
- Strong knowledge of UAE Companies Law, Commercial Transactions Law, and free zone regulations including DIFC, ADGM, and DMCC.
- Proven experience in contract drafting, review, and negotiation.
- Strong ability to interpret UAE legislation and apply it to commercial business situations.
- Excellent analytical, problem-solving, and risk assessment capabilities.
- Strong communication and stakeholder management skills.
- Ability to manage multiple legal matters simultaneously while meeting tight deadlines.
- High attention to detail combined with a strong commercial mindset.
- Ability to work independently and collaboratively within a multicultural environment.
- Strong organisational skills with proficiency in legal research and MS Office tools.
